1. Failures by either party to enforce any of the provisions of this Agreement shall not constitute a waiver of such provisions or any other provisions.

1任一方當事人不執行本合約的任一條款時，並不構成放棄該條款或任何其他的條款。

舉例說，您的合約中有一條條款是，若製造商沒準時出貨造成代理商的損失時，應賠償代理商損失金額之1.1倍。
可是若是事實上真的發生製造商沒準時出貨造成代理商的損失，但是代理商不向製造商求償(這就是「任一方當事人不執行本合約的任一條款時」)。可是代理商不執行這個動作，並不代表代理商放棄了這個條款，或是造成本合約中該條款在法律上的無效。
也就是說，他可以這次沒要求賠償，但是第二次又發生製造商沒準時出貨造成代理商的損失，代理商這次求償時，製造商不能以代理商之前第一次沒求償視為合約中的該條約已失效。
再舉個例子，代理商可能現在沒求償，可是過了十年後再來求償，製造商不能說代理商那時沒求償就表示他放棄了該條款。

2. In the event that any one or more provisions of this Agreement shall be deemed invalid, illegal, or unenforceable in any respect , the validity, legality, and enforceability of the remaining provisions shall be unaffected.

假使本合約中一個或多個條款在任何方面被視為無效、違法或無法執行時，剩餘的其他條款須仍視為有效、合法及須執行的。
